Chum Terms of Service

Last Updated: September 23, 2026

Effective Date: September 23, 2026

These Terms of Service (Terms) govern access to and use of the Chum referral-program platform, website, software, application programming interfaces, and related services (collectively, the Service) provided by Afamdi Achufusi, doing business as Chum, a sole proprietorship (Chum, we, us, or our).

By creating an account, connecting an integration, accessing the Service, or clicking to accept these Terms, the person or entity accepting them (Customer, you, or your) agrees to them. If an individual accepts on behalf of an entity, that individual represents that they have authority to bind that entity.

1. Service

1.- The Service enables Customers to administer referral programs by generating referral links, tracking referral-attribution events, recording qualifying conversions from supported integrations or Customer-authorized backend reporting, calculating rewards under Customer-selected program settings, and—where enabled—facilitating certain rewards through third-party providers.

2.- Chum provides technology infrastructure only. Chum is not the seller of a Customer’s goods or services; does not set Customer prices; does not control the Customer’s promotion, offer, or customer transaction; and is not a party to any transaction between Customer and a referrer, referred person, or Customer customer.

3.- Chum may change, suspend, or discontinue Service features, including an integration, where reasonably necessary for security, legal compliance, third-party-provider requirements, or Service operations. Chum will use commercially reasonable efforts to give advance notice of a material adverse change where practicable.

2. Accounts, Credentials, and Security

1.- Customer must provide complete and accurate account information, keep it current, and ensure each authorized user is at least 18 years old. Customer is responsible for all activity under its account and credentials, except to the extent caused by Chum’s breach of these Terms.

2.- Customer must protect its secret API key and must not expose it in client-side code, public repositories, or another location accessible to unauthorized persons. Customer may use the public API key only for the permitted client-side functions. Customer must promptly notify Chum of a suspected credential compromise.

3.- Customer must use the Service only for lawful business purposes and in compliance with applicable law, its agreements with its customers and referrers, and the applicable terms of each third-party provider.

3. Customer Referral Programs and Compliance

1.- Customer is solely responsible for each referral program it creates or operates, including its eligibility rules, offer terms, disclosures, rewards, taxes, records, customer communications, privacy notices, and legal compliance.

2.- Customer represents and warrants that its use of the Service, referral offers, rewards, and related communications comply with all applicable laws and regulations, including consumer-protection, advertising, privacy, tax, professional, industry-specific, and anti-kickback requirements.

3.- Chum may require manual review, impose conditions, suspend a payout, or decline Service use for an industry, offer, transaction, or program it reasonably determines presents legal, regulatory, fraud, reputational, or third-party-provider risk. Any such review is a platform safeguard only and is not legal, tax, financial, medical, or regulatory advice or a determination that Customer’s program is compliant.

4.- The Service is not available for referral programs involving law firms, mortgage brokers, or insurance agents unless Chum expressly approves the use in writing. Customer may not use the Service in any other prohibited category identified in the Service or in written notice from Chum.

4. Subscription Fees and Billing

1.- The Service is offered under the plan, price, and billing interval displayed at checkout or in an applicable order form. Each new account receives a 14-day free trial unless the checkout flow states otherwise.

2.- At the end of the trial, the applicable subscription fee will be charged automatically to Customer’s selected payment method unless Customer cancels before the trial ends. Paid subscriptions automatically renew for successive billing periods unless Customer cancels before the renewal date. Customer authorizes Chum and its payment processor to charge all fees, taxes, and other amounts due.

3.- Subscription payments are processed by Stripe, Inc. Chum does not store full payment-card numbers. Customer’s use of Stripe-enabled billing is also subject to Stripe’s applicable terms.

4.- Fees are nonrefundable except where required by law or expressly stated in writing by Chum. Chum may change plan pricing prospectively on at least 30 days’ notice; the change applies at the next renewal after that notice.

5.- If Customer’s payment fails or its trial expires, Chum may suspend Customer’s ability to create new referral links and record new conversions until the account is brought current. Subject to these Terms and the applicable third-party provider’s requirements, existing data will remain accessible during suspension and previously earned rewards may continue through the applicable review and payout process.

5. Attribution, Rewards, and Third-Party Providers

1.- Reward calculations depend on Customer’s category, program settings, and transaction information. Customer is responsible for ensuring that the information it supplies is accurate. Chum may apply fraud and program-integrity controls, including controls addressing self-referrals, duplicate conversions, monthly caps, and expired attribution windows.

2.- A click or site visit alone is not a conversion. A conversion is recorded only from a supported, verified payment signal or Customer-authorized backend report. Chum does not guarantee that every transaction, referral, attribution event, reward, gift card, discount, or payout will be recorded, approved, delivered, or available.

3.- Customer may elect to offer a referred-person benefit. A Stripe-connected discount is configured and delivered through Customer’s Stripe checkout; Customer is solely responsible for accurately describing and honoring that discount. A Square-connected gift-card reward, if enabled and successfully processed, is issued through the applicable third-party provider based on Service calculations and permissions Customer has granted.

4.- Referrer payouts may be facilitated through Tremendous, Inc. Customer is responsible for funding, recipient information, program eligibility, any required notices or consents, and tax reporting. Chum does not hold Customer funds and is not a money transmitter, payment intermediary, tax advisor, or fiduciary.

5.- Customer’s use of Stripe, Square, Tremendous, and other third-party services is governed by the provider’s terms and policies. Chum does not control, and is not responsible for, a third-party provider’s acts, omissions, availability, data practices, or decisions.

6. Acceptable Use

Customer shall not, and shall not permit any person to: (a) generate or facilitate fraudulent, false, deceptive, or artificially inflated referral activity; (b) circumvent Service controls; (c) interfere with or disrupt the Service; (d) access the Service or its data without authorization; (e) introduce malicious code; (f) use the Service in violation of law or third-party rights; (g) reverse engineer, decompile, or attempt to derive source code except to the extent a restriction is prohibited by law; or (h) use the Service to build or support a competing product or service.

7. Data; Customer Responsibilities

1.- The parties’ collection and use of personal information is governed by the Chum Privacy Policy, which is incorporated into these Terms. Customer represents that it has provided all notices and obtained all permissions required for Chum to process personal information as described in the Privacy Policy and to provide the Service.

2.- As between the parties, Customer retains rights in Customer Data. Customer grants Chum a nonexclusive, worldwide, royalty-free right to host, copy, process, transmit, and display Customer Data solely as necessary to provide, secure, support, and improve the Service and comply with law.

3.- Customer must not provide Chum with payment-card data, protected health information, Social Security numbers, government-issued identification numbers, or other highly sensitive information unless Chum expressly permits it in writing and the parties have agreed in writing to any additional safeguards required by law.

8. Intellectual Property

1.- Chum and its licensors retain all right, title, and interest in the Service, documentation, software, technology, and all related intellectual-property rights. Subject to Customer’s compliance with these Terms, Chum grants Customer a limited, nonexclusive, nontransferable, non-sublicensable right during the subscription term to access and use the Service for Customer’s internal business purposes.

2.- Customer may submit suggestions or feedback. Customer grants Chum a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. CHUM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. CHUM DOES NOT WARRANT THAT ATTRIBUTION, REWARD CALCULATIONS, FRAUD CONTROLS, DISCOUNTS, GIFT CARDS, OR PAYOUTS WILL BE ACCURATE, AVAILABLE, OR ERROR-FREE.

10. Limitation of Liability

1.- TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHUM AND ITS LICENSORS, PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

2.- TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHUM’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS CUSTOMER PAID TO CHUM FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

3.- These limitations do not exclude liability that cannot lawfully be excluded or limited.

11. Indemnification

Customer shall defend, indemnify, and hold harmless Chum, its affiliates, and their respective personnel from third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) Customer Data; (b) Customer’s referral program, offer, rewards, or customer communications; (c) Customer’s breach of these Terms; (d) Customer’s violation of law or third-party rights; or (e) a dispute between Customer and a referrer, referred person, or Customer customer.

12. Termination

1.- Customer may cancel its subscription through its account or as otherwise stated in the Service. Cancellation takes effect at the end of the then-current paid billing period unless applicable law requires an earlier effective date.

2.- Chum may suspend or terminate access immediately for a material breach, security risk, suspected fraud, legal or regulatory risk, or violation of Section 6. Chum may terminate the Service or these Terms on 30 days’ notice.

3.- After termination, Customer’s right to use the Service ends. Chum will make Customer Data available for export for 30 days after termination, unless prohibited by law or technically infeasible. Thereafter, Chum may delete Customer Data in accordance with its retention practices. Sections that by their nature should survive will survive, including Sections 3, 4.4, 5, 7.3, and 8 through 14.

13. General

1.- These Terms are governed by Maryland law, excluding conflict-of-law rules. The state courts located in Maryland and the United States District Court for the District of Maryland have exclusive jurisdiction over disputes arising out of these Terms, and the parties consent to jurisdiction and venue there.

2.- Chum may modify these Terms by posting the revised version and updating the Last Updated date. For a material change, Chum will provide reasonable advance notice. Continued use after the effective date constitutes acceptance, except where law requires another form of consent.

3.- These Terms and the Privacy Policy are the entire agreement concerning the Service. Customer may not assign these Terms without Chum’s written consent; Chum may assign them in connection with a corporate transaction or transfer of the Service. If any provision is unenforceable, the remainder remains effective. Chum’s failure to enforce a provision is not a waiver.
